SAS LANGE (hereinafter collectively the \"Seller\"), whose contact details and identification information are specified below in the \"Legal Notice\" section, has set up an e-commerce service available on the Internet at the following address: www.chateaulange.com (hereinafter the \"Site\") intended for purchasing customers, hereinafter the \"Customer(s)\".<\/p>

Acceptance of these general terms and conditions of sale<\/b><\/p>

In the absence of specific provisions agreed in writing between the parties, all orders placed on the Site are automatically subject to these general terms and conditions of sale, which take precedence over any other document, such as brochures, press releases, catalogues or emails issued by the Seller, which are for information purposes only.<\/p>

Any use of the Site and\/or placing of an order implies that these general terms and conditions of sale have been consulted and accepted in full beforehand.<\/p>

SAS LANGE reserves the right to adapt or modify these general terms and conditions of sale at any time. In the event of modification, the general terms and conditions of sale in force on the day of the order shall be applied to each order.
The fact that SAS LANGE does not avail itself of any provision of these general terms and conditions of sale or of a right cannot be interpreted as a waiver of the right to avail itself of them at a later date.<\/p>

Offers \/ Prices \/ Orders<\/b><\/p>

All our offers of deliverable wines are valid while stocks last, excluding promotions, special offers and gifts.
Prices are expressed in Euros, including all taxes, excluding transport. Given the rare or speculative nature of certain products, we reserve the right to apply restrictions on the quantities available.
In the event that stocks are exhausted, SAS LANGE will endeavour to indicate this and\/or make it impossible to purchase the wine concerned. Despite all the precautions taken, it may exceptionally happen that a wine ordered is no longer available. In such a case, SAS LANGE will immediately inform the Customer who, where applicable, will be refunded the full amount paid using the same payment method. Given the rare or speculative nature of certain products, we reserve the right to apply restrictions on the quantities available, or even to refuse or cancel an order that is manifestly abnormal in nature. Our offers are exclusively reserved for consumer customers, and in no case for professional resellers.<\/p>

After having taken note of the products offered on the Site and, if necessary, having contacted SAS LANGE's customer service, the Customer is invited to add one or more products to their virtual basket. By consulting their virtual basket, the Customer accesses a summary of their order (product references, quantities, unit price, price including VAT, etc.) so that they can modify it if necessary. The Customer is then invited to select the delivery method of their choice from those offered, to enter their delivery and billing addresses, to use any promo codes they may have, and to proceed with payment after accepting these general terms and conditions of sale.<\/p>

A confirmation message summarising the essential characteristics of their order and containing (or allowing them to download or print) these general terms and conditions of sale is then sent to them (failing this, the Customer is invited to contact SAS LANGE using the contact details specified below in the \"Legal Notice\" section). Orders are only final upon receipt of full payment for the goods.<\/p>

In the event that an abnormally low price is indicated due to a technical or human error, SAS LANGE reserves the right to ask the Customer to supplement the price already paid or to allow them to cancel their order by refunding the full amount already paid. SAS LANGE may organise various promotional campaigns, in particular in the form of strikethrough price announcements, particularly in the context of private sales. The advertisements are based on reference prices established in accordance with the regulations in force.<\/p>

Terms and conditions of payment<\/b><\/p>

Payment for the goods is made in full at the time of the order, either by cheque payable<\/b> to SAS LANGE, or by bank card<\/b> such as Carte Bleue, Visa, Eurocard or Mastercard, or by transfer to our bank account<\/b> using the following details:<\/p>

Deliverable wines<\/i>
An invoice expressed in euros including tax will be issued by SAS LANGE and sent to the Customer at the billing address indicated. For any order over 300 euros including tax delivered in a single delivery to an address located in metropolitan France, delivery is free of charge. For any order less than 300 euros including tax, a contribution to the transport costs of 16 euros including tax will be requested, and for multiple deliveries in mainland France, a contribution of 16 euros including tax per recipient must be added.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Deliveries<\/b><\/p>

Deliveries are made according to the terms (address, price, etc.) agreed upon when the order is placed. The goods are insured by us during their transport in mainland France and travel at our own risk. Our deliveries are made within a maximum period of 30 working days from receipt of full payment of the final invoice, it being specified that any delivery period of less than 30 working days that may be indicated on the Website is purely indicative and cannot be binding on SAS LANGE.
If the delivery period of 30 days is not respected, except in cases of force majeure, the Customer may terminate the contract by registered letter with acknowledgement of receipt or by writing on another durable medium, if, after having instructed SAS LANGE, according to the same terms, to make the delivery within a reasonable additional period, SAS LANGE has not complied within this period.<\/p>

The Customer may immediately cancel the order if the delivery period was an essential condition of the contract for the Customer. This essential condition results from the circumstances surrounding the conclusion of the contract or from an express request by the Customer before the conclusion of the contract. To do this, the Customer must send their cancellation by registered letter with acknowledgement of receipt to the following address: SAS LANGE, 24 Rue Vital Carles 33000 Bordeaux. The Customer will receive a refund of their payment, to the exclusion of any other compensation or damages, at the latest within 14 days of the date on which the contract was terminated.
In the event of an error in the information provided by the Customer, SAS LANGE cannot be held responsible for the impossibility of delivering the goods to the desired place and at the desired time.
Upon receipt of the goods, it is the responsibility of the recipient to check the condition of the goods and to make any necessary observations in the event of breakage, damage or missing items, by expressing their reservations on the delivery note, and within three days (excluding public holidays) following the date of receipt, by registered letter with acknowledgement of receipt to the carrier, with a copy to the Seller, in order to preserve their rights.<\/p>

Deliveries in France<\/b><\/p>

Any order placed and confirmed the day before by 11:00 a.m. will be processed and shipped the following day. This delivery method is only valid for individual bottles or 2-bottle packs. Boxes cannot be sent via LaPoste due to their atypical shape.<\/p>

\u2013 1 to 6 bottles = 15 euros including tax
\u2013 7 to 12 bottles = 18 euros including tax
\u2013 13 to 18 bottles = 20 euros including tax
\u2013 19 to 24 bottles = 25 euros including tax
\u2013 Maximum 24 bottles per shipment.<\/p>

Receipt of goods<\/b><\/p>

It is your responsibility to check the condition of the goods and to make any necessary observations in the event of breakage, damage or missing items, by expressing your reservations in a legible and understandable manner on the delivery note, and within three days (excluding public holidays) following the date of receipt, by registered letter with acknowledgement of receipt to the carrier, with a copy to the Seller, in order to preserve its rights.<\/p>

Late Payment<\/b><\/p>

Any amount not paid on the due date shall automatically and ipso jure give rise, without prior formal notice and for each day of delay , to a penalty corresponding to the unpaid price multiplied by the legal interest rate in force. In the event of recovery by legal action, this shall give rise to a proportional compensation corresponding to the costs incurred for said fixed-rate recovery, which SAS LANGE estimates at 15% of the order amount.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Rightof withdrawal<\/b><\/p>

You have the right to withdraw from this contract without giving any reason within fourteen days.<\/b>The withdrawal period expires fourteen days after the day on which you, or a third party other than the carrier and designated by you, take( s) physical possession of the goods. The Customer may also, at their express written request, exercise their right of withdrawal from the conclusion of the contract. In the case of a contract for several goods ordered by means ofa single order<\/b> and if these goods are delivered separately, the period expires fourteen days after the day on which you, or a third party other than the carrier and designated by you, take( s) physical possession of the last good.<\/p>

To exercise the right of withdrawal, you must notify us of your decision to withdraw from this contract by means of an unambiguous statement (for example , a letter sent by post, fax or email) to the following address: SAS LANGE, 24 Rue Vital Carles 33000 - Bordeaux or infochateaulange@gmail.com<\/p>

In order to comply with the withdrawal period, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period expires.<\/p>

As an exception, these provisions will not apply to the contracts listed in Articles L.221-2 and L.221-28 of the French Consumer Code and, in particular: to orders for products subject to customisation or a specific request from the Customer when placing their order (special formats, customised packaging, etc.), to orders for alcoholic beverages whose delivery is delayed beyond thirty days and whose value agreed upon at the conclusion of the contract depends on market fluctuations beyond the control of SAS LANGE, or to orders for goods that have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection.<\/p>

\u00a0<\/b><\/p>

Effects of withdrawal<\/b>: In the event of your withdrawal from this contract, we will refund all payments received from you, including delivery costs (with the exception of additional costs arising from the fact that you have chosen, where applicable, a delivery method other than the least expensive standard delivery method offered by us) without undue delay and, in any event, no later than fourteen days from the day on which we are informed of<\/b> your decision to withdraw from this contract. We will issue the refund using the same payment method that you used for the initial transaction, unless you expressly agree to a different method; in any event, the chosen refund method will not incur any fees for you. We may withhold the refund until we have received the goods or until you have provided proof of dispatch of the goods, whichever is the earlier.<\/p>

You must return or deliver the goods to the address that appears on the header of your SAS LANGE invoice without undue delay and, in any event, no later than fourteen days after you have notified us of your decision to withdraw from this contract. This deadline is deemed to have been met if you return the goods before the expiry of the fourteen-day period.<\/p>

You will have to bear the direct costs of returning the goods (as an indication, a flat rate of 17 euros excluding tax, plus an average of 2.37 euros excluding tax per bottle for mainland France).<\/p>

The Customer is only liable for any depreciation of the goods resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of these goods.<\/p>

Product exchange<\/b><\/p>

In the event that the products ordered are out of stock, SAS LANGE may offer to replace them with another vintage, with the Customer's agreement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Retention of title clause<\/b><\/p>

By express agreement, all our goods remain our property wherever they are until full payment of the invoices due. This does not prevent the transfer of risk for the goods to the Customer as soon as the goods are delivered.<\/p>

\u00a0<\/b><\/p>

Legal guarantees<\/b><\/p>

The consumer has a period of two (2) years from the delivery of the goods to obtain the implementation of the legal guarantee of conformity in the event of the appearance of a lack of conformity existing at the time of delivery of the goods. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared (this period is twelve (12) months for second-hand goods).<\/p>

The legal guarantee of conformity gives the consumer the right to have the goods repaired or replaced within thirty days of their request, at no cost and without major inconvenience to them.<\/p>

If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six (6) month extension of the initial guarantee. If the consumer requests the repair of the goods, but the seller imposes a replacement, the legal guarantee of conformity is renewed for a period of two (2) years from the date of replacement of the goods.<\/p>

The consumer may obtain a reduction in the purchase price by keeping the goods or terminate the contract by obtaining a full refund against return of the goods, if:<\/p>

1. The trader refuses to repair or replace the goods;<\/p>

2. The repair or replacement of the goods takes place after a period of thirty (30) days;<\/p>

3. The repair or replacement of the goods causes major inconvenience to the consumer, in particular when the consumer definitively bears the costs of taking back or removing the non-compliant goods, or if they bear the costs of installing the repaired or replacement goods;<\/p>

4. The non-conformityof the goods persists despite the seller's unsuccessful attempt to bring them into conformity. The consumer is also entitled to a reduction in the price of the goods or to the termination of the contract when the lack of conformity is so serious that it justifies the immediate reduction in the price or termination of the contract. The consumer is then not required to request the repair or replacement of the goods in advance. The consumer is not entitled to the termination of the sale if the lack of conformity is minor. Any period during which the goods are immobilised for repair or replacement suspends the guarantee that remained in effect until the delivery of the goods in good condition. The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the Consumer Code. Any seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of the average annual turnover (Article L. 241-5 of the Consumer Code). The consumer also benefits from the legal guarantee against hidden defects pursuant to Articles 1641 to 1649 of the Civil Code, for a period of two (2) years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept or to a full refund upon return of the goods.<\/p>

Customers who wish to exercise one of the aforementioned legal guarantees are invited to send a written request to SAS LANGE using the contact details specified below in the \"Legal Notice\" section. Any return is subject to the prior agreement of SAS LANGE. In the event of a return, the returned products must be accompanied by all their accessories and the purchase invoice, be perfectly protected and sent by post, at the Customer's risk, to the address specified below in the \"Legal Notice \" section. These guarantees may be exercised at no cost to the Customer, provided, however, that the Customer is entitled to claim the benefits of these guarantees.<\/p>

Termination of the contract<\/b><\/p>

In the event of non-payment by the Customer or failure to collect the goods on the agreed date, and one month after a formal notice has remained unsuccessful, the sale will be automatically terminated if SAS LANGE sees fit, with the refund of the deposits paid by the Customer, after deduction of the storage and management costs incurred by the Seller and the late payment penalties, and the possibility for the Seller to request, by summary proceedings, the return of the products already delivered, if applicable, without prejudice to other damages and interest.<\/p>

Liability<\/b><\/p>

Unless otherwise provided bylaw or public policy, SAS LANGE shall not be held liable for any indirect damage caused by its actions or the products marketed on the Website, or for any damage of any kind resulting from the unavailability of the Website. SAS LANGE shall also be exempt from all or part of its liability in the event that it proves that the alleged damage was caused by the victim, a third party or in the event of force majeure as defined by Article 1218 of the French Civil Code. In addition, the parties acknowledge that the following events will automatically be considered cases of force majeure as long as they are reasonably beyond the control of SAS LANGE and despite the fact that they do not meet all the conditions set out in case law: strikes (announced or not) affecting the performance by SAS LANGE and\/or its own suppliers of their contractual obligations, non-performance of the contract by SAS LANGE resulting from the actions of its suppliers (delay in delivery by the supplier, etc.) or its carriers (delay, loss of goods, etc.), difficult weather conditions (frost, bad weather, etc.), as well as any event beyond the control of SAS LANGE that makes it impossible or jeopardises the financial balance existing on the day the order was placed.<\/p>

Amicable settlement of disputes<\/b><\/p>

In the event of difficulties in the application of these general terms and conditions of sale, we invite you to seek an amicable solution by first contacting our Customer Service using the contact details specified below in the \"Legal Notice\" section. In accordance with the provisions of Articles L 611-1 and R 612-1 et seq. of the French Consumer Code concerning the amicable settlement of disputes, if you have sent a written complaint to the professional and have not obtained satisfaction or a response within two months, you can submit your complaint free of charge to the consumer mediator. In the event that one of the clauses of these general terms and conditions of sale is null and void, this shall in no way affect the validity of and compliance with these general terms and conditions of sale. In the event of a dispute arising as a result of or in connection with the placing or execution of an order, the competent French court shall be designated in accordance with the rules of common law.<\/p>
